You are expressly prohibited from engaging in the following activities:
- Illegal Activities: Any use of the Services for unlawful purposes is strictly prohibited. This includes, but is not limited to, fraud, theft, and distribution of illegal substances.
- Security Breaches: Attempting to breach or breaching the security of our Services, including, without limitation, accessing data not intended for you, logging into a server or account which you are not authorised to access, or probing the security of other networks.
- Interference with Service: You must not use any device, software, or routine that interferes with the proper working of the Services, nor shall you attempt to interfere with the proper working of the Services.
- Intellectual Property Violations: Copying, distributing, or disclosing any part of the Service in any medium, including without limitation by any automated or non-automated "scraping," is prohibited without our express written consent. You must also not reproduce, sell, or exploit any part of the Service without express permission from Taubase.
- Impersonation or Misrepresentation: Impersonating another user, person, or entity, or misrepresenting your affiliation with a person or entity, is prohibited.

We reserve the right to investigate and prosecute violations of any of the above to the fullest extent of the law. We may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms.

- Taubase does not store or directly handle your payment details. All payment processing is conducted through our trusted third-party payment processor, Stripe. Stripe specialises in the secure online capture and processing of payment transactions. As such, any payment details you provide are subject to Stripe's security measures and policies. We encourage you to review Stripe's Terms and Privacy Policy (https://stripe.com/privacy) for further information on how your payment information is handled.

Subscription Fees
Taubase operates on a "One Plan. Forever." basis, offering access to all current and future services under a single subscription model. Subscriptions are payable either monthly or annually, in advance. While the plan remains constant, the pricing may be subject to adjustments.

Fee Adjustments
- Initial Fees: The subscription fee applicable at the time of your signup will remain in effect for the initial term of your subscription unless you purchase additional features or services that require an adjustment of fees.
- Renewals: Upon renewal, your subscription will be subject to the then-current pricing. We will provide you with notice of any price changes at least 30 days before the end of your subscription period to give you an opportunity to cancel your subscription before the new fee takes effect.
- Future AI Features: Should we develop and incorporate AI tools into our Services, additional fees may apply. These will be communicated to you with ample notice to decide whether to continue using such enhanced features.

Payment Terms
- Payment Method: You must provide a valid payment method when signing up for our services. By submitting such information, you grant us the right to provide this information to third parties for purposes of facilitating the completion of Purchases.

Free Trial
From time to time, Taubase may offer a free trial period during which you can use Taubase at no charge. The free trial will end at 23:59:59 on the last day of the trial period, and subscription charges will commence the following day unless the subscription is cancelled by 23:59:59 on the last day of the trial period.

Refunds and Cancellations
- Refunds: Given the nature of digital services, Taubase does not offer refunds on any fees or charges related to the Services, including partially used periods.
- Cancellations: You may cancel your subscription at any time via your account interface or by contacting our customer support. Upon cancellation, your services will continue until the end of the paid billing period.

Service Availability and Subscription Extensions
- Service Availability: No supply of service is guaranteed. However, we will consider subscription extensions at our discretion in the case of significant downtimes (more than 24 hours).
- Exceptions: No extensions will be granted for service interruptions caused by acts of war, terrorism, or major incidents that affect network or electricity supply to our servers.

We may modify our fees and payment terms at any time. We will provide you with at least 30 days' notice before any new fees or terms take effect. Continued use of the Services after any such changes shall constitute your consent to such changes.

Right to Amend Terms
Taubase reserves the right to update or modify these Terms at any time. Changes to the Terms are often dictated by changes to the law, new regulatory requirements, or improvements to our services and features.

- Notice Period: We will provide you with at least 30 days' notice before any substantial changes to these Terms take effect. This notice will be provided through visible notifications within the Service interface, as well as via an announcement on our website and/or an email to the address associated with your account.
- Content of Notices: The notice will include a summary of the changes being made and the effective date of those changes. Whenever possible, we will provide a comparison illustrating the changes from the old terms to the new terms to help you understand the impact of our modifications.

Your Responsibility to Review Changes
It is your responsibility to regularly check for updates to these Terms. The date of the last modification will always be posted at the top of the Terms. You are deemed to accept the changes to the Terms by continuing to use the Services after the new terms have taken effect. If you do not agree with the modified terms, you have the right to terminate your use of the Services before the changes take effect.

Initial Dispute Resolution
We are committed to resolving disputes amicably. Before filing any formal legal proceedings, we encourage you to contact us directly to seek a resolution. You can reach our customer support team at hello@taubase.com, where we will attempt to resolve any issues informally.

Mediation
If the dispute cannot be resolved through direct communication, either party may initiate mediation. Mediation will be conducted by a neutral mediator who will help both parties reach a voluntary agreement. Mediation sessions may be held in-person, or if mutually agreed upon, via telephone or video conference.

Binding Arbitration
Should mediation fail to resolve the dispute, either party may request that the dispute be resolved by binding arbitration. The arbitration will be conducted:
- Under the rules of the [specific arbitration association] applicable to Taubase disputes.
- At a location agreed upon by both parties, or if no agreement can be reached, determined by the arbitrator.
- In the English language.
The arbitrator's decision shall be final and legally binding and judgement on the decision may be entered in any court possessing jurisdiction over the party against whom enforcement is sought.

Exceptions to Alternative Dispute Resolution
The following disputes are not subject to the above terms of mediation and arbitration:
- Disputes concerning the infringement, validity, or misuse of Taubase's intellectual property rights.
- Any claim related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use.

Governing Law
The terms of this Agreement and any disputes arising out of it will be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

Termination, Cancellation and Suspension

Right to Terminate
Taubase reserves the right to terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

User Initiated Cancellation
You may cancel your use of the Services at any time by contacting hello@taubase.com or by using the cancellation procedure in Settings->Account (administrators only) in the Taubase App.

Refunds after Cancellation
You will not receive a refund for any remaining period of your subscription, as per our refund policy outlined in Section 6, but you will be able to access your account until its expiration date.
- Effects of Termination
Upon termination, your right to use the Services will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
- Data Retention: After termination, we will retain your data for a limited period as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.
- Account Data: You may request the deletion of your account data by contacting our support team. Data deletion will be subject to our data retention policies.

Suspension for Non-Payment
If any charge owing by you is 7 days past due, we may, without limiting our other rights and remedies, suspend your access to the Services until such amounts are paid in full.

We will attempt to notify you in advance of any suspension or termination of your account where practicable, using the administrator's email address(es) associated with your account or the next best method of contact.

Reinstatement
Upon resolution of the issue that resulted in termination or suspension, Taubase may reinstate your access to the Services at its sole discretion.

Governing Law
These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. This clause ensures that the rest of the document still applies even if one part is legally voided.

Entire Agreement
These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without Taubase's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. Taubase may assign or transfer these Terms, at its sole discretion, without restriction.

Changes to Services
Taubase reserves the right to withdraw or amend our Service, and any service or material we provide via the Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period.

Notifications
All notices related to these Terms will be given: (i) via email; (ii) immediately on posting on our website; or (iii) via an in-app notification. Such notices will be deemed to have been duly given on the date of receipt if delivered via email, or on the date of posting if delivered by another method.

Governing Law
